Refer-a-Friend Program Terms and Conditions

These Folio by Amitree Refer-a-Friend Terms and Conditions (“Terms”) are additional terms to the Amitree Terms of Service, and govern your participation in the Folio by Amitree Refer-a-Friend Program (“Program”). Capitalized terms that are not defined here will have the same meaning given to them in the Folio by Amitree Terms of Service. The Program is administered by Amitree, which may outsource certain elements of administration to third parties (collectively “Administrator”). Amitree and Administrator are collectively “Amitree Entities”.

1. Binding Agreement.

By participating in the Program, you are bound by these Terms and indicate your agreement to them. If you do not agree to these Terms in their entirety, then you cannot participate in the Program. You also cannot where in so doing you would violate any applicable law or regulations. This Program is void where such referral programs are prohibited.

2. Privacy.

The personal information collected, processed, and used as part of the Program will be used in accordance with the Amitree Privacy Policy.

3. How the Program Works.

The Program offers eligible Folio by Amitree users (“Referrers”) the opportunity to be compensated (“Referral Bonus”) when they refer friends (“Friends”) who purchase a subscription to Folio by Amitree, either one of Folio by Amitree’s Annual plans (“Pro Annual”) plan or Folio by Amitree’s Monthly plans (“Pro Monthly”). The Referral Bonus may be provided in a form that is at the discretion of Amitree, such as a prepaid debit or gift card.

To be eligible to be a Referrer, you must reside or be a permanent resident in the United States and have an existing Folio by Amitree Free or Pro account or sign-up for a Folio by Amitree Free or Pro account before you can become a Referrer.

The Referral Bonus is valued at $100 USD per subscription of Pro Annual purchased by a Friend in a single transaction. The Referral Bonus is valued at $20 USD per subscription of Pro Monthly purchased by a Friend in a single transaction.

As part of the Program, Folio by Amitree will provide Referrers with a URL (“Sign up Link”) and a Discount code ("Coupon Code") that offers their Friends a discount off their purchase of the first year of a new, paid, Pro Annual subscription (“New Subscriber Discount”).

Only existing Folio by Amitree users who are invited to the program will receive a Sign up Link and a Coupon Code via email. Referrers may share the Sign up Link and Coupon Code with Friends by whatever means they wish, including email, SMS and social media posts. Referrers are solely responsible for the use of their Sign up Link and Coupon Code and results and must abide by all laws and regulations in doing so. Referrers may not modify or contradict the terms of the New Subscriber Discount when sharing the Sign up Link and Coupon Code.

Companies and employees of Amitree Entities or any of their subsidiaries, affiliates, or promotional agencies, including immediate family and household members, are not able to participate in the Program.

All Amitree Entities’ decisions are final and binding, except where prohibited.

4. Referral Bonus and New Subscriber Discount Restrictions.

Referrer’s receipt of the Referral Bonus is conditioned on the Friend (i) using the Sign up Link and the Coupon Code from the Referrer, who must be in good standing with Folio by Amitree, to purchase Pro Annual or Pro Monthly before the expiration of the New Subscriber Discount and (ii) not previously having purchased Pro Annual or Pro Monthly under any email or alias for at least 12 months.

If a Friend receives more than one Sign up Link and more than one Coupon Code, Folio by Amitree will provide the Referral Bonus to the person whose Sign up Link and Coupon Code is used to complete the purchase of Pro Annual or Pro Monthly regardless of when the Sign up Links and Coupon Codes were shared. If a Friend purchases Pro Annual or Pro Monthly using any other method, the purchase will not count as a referral and Referrer will not earn the Referral Bonus.

The maximum cumulative amount of Referral Bonuses that a Referrer who is a US citizen or permanent resident can receive per calendar year is $2,000 USD.

Referrers cannot refer themselves or create multiple, fictitious, or fake accounts with Folio by Amitree.

5. Sharing the Sign up Link and Coupon Code.

The Sign up Link and the Coupon Code should only be shared for personal and non-commercial purposes, and only with friends where there is a reasonable basis for believing that they will appreciate receiving the New Subscriber Discount as required by applicable laws in the jurisdiction(s) where your Friends reside.

When sharing the Sign up Link and the Coupon Code, Referrers must clearly explain that they will receive a Referral Bonus for each Friend that makes an eligible purchase using the Sign up Link with the Coupon Code. Failure to make this disclosure is a violation of these Terms.

Referrer is responsible for ensuring that Referrer has all permissions required by applicable law prior to sharing the Sign up Link and Coupon Code by direct marketing. Violations of any applicable law, including privacy or marketing laws, will disqualify the Referrer from receiving a Referral Bonus and may result in the loss of eligibility in the Program.

Referrers must respect the spirit of the Program by not engaging in spamming or other unfair or otherwise problematic practices, including creating fake accounts or harassing potential referral sources.

6. Disclosure of Your Name to Friends.

We may communicate to Friends who the Friends’ Referrers are for the purpose of assuring and confirming that the Friends are aware of the identity of the people who made the referrals.

7. Payout Method Non-Affiliation

Referral Bonus payment in the form of a prepaid credit card or gift card does not imply that either Folio by Amitree Entities or the Program is affiliated with or sponsored or endorsed by the credit card or gift card provider.

8. Termination and Changes.

Amitree may modify, suspend, or terminate the Program, these Terms, or a Referrer’s or Friend’s ability to participate in the Program at any time for any reason in its sole discretion. Folio by Amitree reserves the right to suspend or terminate accounts or decline to issue some or all of the Referral Bonuses obtained through the Program if we notice any activity that we believe is abusive, fraudulent, or in violation of these Terms. We reserve the right to review and investigate all referral activities and to suspend or modify referrals in our sole discretion as deemed fair and appropriate.

9. Liability Release.

Except where prohibited, you agree that by participating in the Program (i) to release and hold harmless Amitree Entities and their respective parent companies, affiliates and subsidiaries, together with their respective employees, directors, officers, licensees, licensors, shareholders, attorneys and agents including, without limitation, their respective advertising and promotion entities and any person or entity associated with the production, operation or administration of the Program (collectively, the “Released Parties”), from any and all claims, demands, damages, losses, liabilities, costs or expenses caused by, arising out of, in connection with, or related to their participation in the Program (including, without limitation, any property loss, damage, personal injury or death caused to any person(s) and/or the awarding, receipt and/or use or misuse of the Program or any Referral Bonus); and (ii) to be contacted by Amitree Entities via email.

Except where prohibited by law, the Released Parties shall not be liable for: (i) late, lost, delayed, stolen, misdirected, incomplete unreadable, inaccurate, garbled or unintelligible entries, communications or affidavits, regardless of the method of transmission; (ii) telephone system, telephone or computer hardware, software or other technical or computer malfunctions, lost connections, disconnections, delays or transmission errors; (iii) data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials; (iv) any injuries, losses or damages of any kind resulting from acceptance, possession or use of a Referral Bonus, or from participation in the Program; or (v) any printing, typographical, administrative or technological errors in any websites or materials associated with the Program. Amitree Entities disclaim any liability for damage to any computer system resulting from participating in or accessing or downloading information in connection with this Program, and reserve the right, in their sole discretion, to cancel, modify or suspend the Program should a virus, bug, computer problem, unauthorized intervention or other causes beyond Amitree Entities control, corrupt the administration, security or proper play of the Program.

Except where prohibited, the Released Parties shall not be liable to you for failure to supply any Referral Bonus or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulations(s), order(s) or request(s) prove(s) to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, tornado, tsunami, war (declared or undeclared), fire, flood, epidemic, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other similar or dissimilar cause beyond any of the Released Parties’ control.

As a condition of entering the Program, and unless prohibited by law, you agree that under no circumstances will you be entitled to any awards for any losses or damages, and you hereby waive all rights to claim punitive, incidental, consequential and any other damages, and waives any and all rights to have damages multiplied or otherwise increased. A waiver of rights may not apply to you in your jurisdiction of residence. Additional rights may be available to you.

10. Applicable Law.

Except where prohibited, disputes, claims and causes of action arising out of or related to this Program shall be resolved under the laws of the United States, and except where prohibited, Delaware law (without reference to its conflicts of laws principles), and participant agrees to submit any dispute to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware.
